Registered Agent Forms in Connecticut

Formation and Registration Forms Requiring Registered Agent Designation in Connecticut

The Connecticut Secretary of State (SOTS) provides all business entity forms on the Forms and Fees page. Filing methods include online filing through the Business.CT.gov portal, mail to Connecticut Secretary of the State, Business Services Division, P.O. Box 150470, Hartford, CT 06115-0470, and in-person delivery at 165 Capitol Avenue, Suite 1000, Hartford, CT 06106. The phone number is (860) 509-6003, and the email is bsd@ct.gov.

LLCs

Connecticut uses the term “statutory agent” for LLCs under the Connecticut Uniform Limited Liability Company Act, though the role is functionally identical to a registered agent. The domestic Certificate of Organization requires appointment of a statutory agent who must sign accepting the appointment directly on the form, and the LLC may not appoint itself as its own agent. A foreign LLC files a Foreign Registration Statement, which likewise requires agent designation or appointment of the Secretary of State as agent for service of process.

Form Description Filing Fee
Certificate of Organization Domestic LLC formation; includes appointment of statutory agent with signature of acceptance $120
Foreign Registration Statement Foreign LLC registration; requires appointment of a registered agent or the Secretary of State as agent $120

Corporations

A domestic stock corporation files a Certificate of Incorporation, which includes a required registered agent appointment section with the agent’s signature of acceptance. The Organization and First Report must follow within 90 days. A foreign stock corporation files an Application for Certificate of Authority, which allows appointment of a registered agent or designation of the Secretary of State.

Form Description Filing Fee
Certificate of Incorporation (Stock Corporation) Domestic stock corporation formation; includes registered agent appointment with signature of acceptance $250 (up to 20,000 authorized shares)
Organization and First Report Required within 90 days of filing Certificate of Incorporation; records officers, directors, and addresses $150 (stock) / $50 (nonstock)
Application for Certificate of Authority (Foreign Corporation) Foreign stock corporation registration; includes registered agent appointment or designation of Secretary of the State as agent $385 (stock, includes $285 license fee) / $40 (nonstock)

Nonprofit Corporations

Connecticut nonprofit corporations are organized as nonstock corporations. The Certificate of Incorporation for a nonstock corporation contains the same registered agent appointment requirement as the stock version, and both the formation fee and the foreign registration fee are substantially lower than those for stock corporations.

Form Description Filing Fee
Certificate of Incorporation (Nonstock Corporation) Domestic nonstock (nonprofit) corporation formation; includes registered agent appointment with signature of acceptance $50
Application for Certificate of Authority (Foreign Corporation) Foreign nonstock corporation registration; same form as for foreign stock corporations; includes registered agent appointment $40

Limited Partnerships

Connecticut does not provide a pre-printed PDF form for the Certificate of Limited Partnership or the Certificate of Registration of a Foreign Limited Partnership; these filings are prepared as original documents. A domestic LP whose principal office is outside Connecticut must appoint a statutory agent, and a separate form exists for subsequent appointments. Foreign LPs must also appoint a statutory agent upon registration, with a dedicated subsequent appointment form available.

Form Description Filing Fee
Certificate of Limited Partnership Domestic LP formation; no pre-printed form available — prepare and submit an original document; requires designation of statutory agent if principal office is outside Connecticut $120
Certificate of Registration of a Foreign Limited Partnership Foreign LP registration; no pre-printed form available — prepare and submit an original document; requires statutory agent appointment $120
Subsequent Appointment of Statutory Agent for Service (Domestic LP) Appoints or changes the statutory agent of a domestic limited partnership after initial formation $20
Subsequent Appointment of Statutory Agent for Service (Foreign LP) Appoints or changes the statutory agent of a foreign limited partnership after registration $20

Limited Liability Partnerships

A domestic LLP is formed by filing a Certificate of Limited Liability Partnership, which requires appointment of a statutory agent only when the partnership’s principal office is outside Connecticut. A foreign LLP files a Certificate of Authority, which requires statutory agent designation regardless of office location.

Form Description Filing Fee
Certificate of Limited Liability Partnership Domestic LLP formation; includes statutory agent appointment section (required only if principal office is outside Connecticut) $120
Certificate of Authority (Foreign LLP) Foreign LLP registration; requires statutory agent appointment $120

Statutory Trusts

Connecticut also registers domestic and foreign statutory trusts, both of which require agent designation. The domestic Certificate of Trust has no pre-printed form; the foreign Application for Registration is available as a PDF.

Form Description Filing Fee
Certificate of Trust Domestic statutory trust formation; no pre-printed form available (form available on the Secretary of State Paper Filings page); requires statutory agent appointment $120
Application for Registration (Foreign Statutory Trust) Foreign statutory trust registration; requires statutory agent appointment $120

Connecticut Partnerships (General)

General partnerships in Connecticut are not required to register with the Secretary of State, but they may voluntarily file a Statement of Partnership Authority. This statement does not contain a registered agent appointment field; however, it records the partnership’s authority and is included here for completeness.

Form Description Filing Fee
Statement of Partnership Authority Voluntary filing for a Connecticut general partnership; records partnership authority but does not designate a registered agent $120

Changing a Connecticut Registered Agent or Registered Office (Filed by Entity)

Connecticut provides separate Change of Agent paper forms for domestic entities and foreign entities, and both are also available for online filing through the Business.CT.gov portal. The domestic form (BUS-009) covers all entity types except limited partnerships, and the foreign form (BUS-010) likewise covers all foreign entity types except limited partnerships. Limited partnerships use the Subsequent Appointment of Statutory Agent form to change their agent. The fee for nonstock (nonprofit) corporations is $20; all other entity types pay $50. Filing methods are the same as described above.

Form Description Filing Fee
Change of Agent — Domestic (BUS-009) Changes registered agent for all domestic entities except limited partnerships; requires new agent’s signature of acceptance $50 ($20 for nonstock corporations)
Change of Agent — Foreign (BUS-010) Changes registered agent for all foreign entities except limited partnerships; allows appointment of the Secretary of State, an individual, or a business entity $50 ($20 for nonstock corporations)
Subsequent Appointment of Statutory Agent (Domestic LP) Changes the statutory agent for a domestic limited partnership $20
Subsequent Appointment of Statutory Agent (Foreign LP) Changes the statutory agent for a foreign limited partnership $20

Changing a Connecticut Registered Agent’s Own Name or Address (Filed by Agent)

Connecticut provides two forms that are filed by the agent rather than by the entity. The Change of Agent’s Address form (BUS-003) is used when the currently appointed agent has moved to a new address. The Change of Agent’s Name by Registered Agent form (BUS-038) is used when the agent’s legal name has changed, but the agent remains the same person or entity. Both forms are filed with the Secretary of State.

Form Description Filing Fee
Change of Agent’s Address (BUS-003) Updates the address of the currently appointed agent for any domestic or foreign entity; filed by an authorized official of the entity, not by the agent directly $50 ($20 for LPs and nonstock corporations)
Change of Agent’s Name by Registered Agent (BUS-038) Updates the agent’s legal name for a domestic or foreign LLC when the agent’s name has changed; filed and signed by the registered agent $50

The BUS-003 form, despite being an “agent’s address” update, is executed by an authorized official of the business entity rather than by the agent. The BUS-038 form, by contrast, is executed by the agent directly. Connecticut does not publish a separate agent-filed name change form for corporations, LLPs, or LPs, though the fee schedule lists a “Change of Agent’s Name by Registered Agent” fee of $50 for LLCs and certain other entities.

Registered Agent Resignation and Rejection Forms in Connecticut

Connecticut does not publish a pre-printed paper form for agent resignations. Instead, resignations are filed online through the Business.CT.gov portal by the agent directly. For corporations and limited partnerships, the fee schedule notes that resignations must be “filed in duplicate.” There is no separate rejection-of-appointment form in Connecticut.

Form Description Filed By Filing Fee
Agent Resignation (online) Removes the agent from the business entity record; no paper form available Registered agent $50 (LLCs, stock corporations, foreign corporations, LLPs); $20 (LPs, nonstock corporations)

Reinstatement Forms Requiring Registered Agent Information in Connecticut

All business entities may file for reinstatement after an administrative dissolution, and LLCs and LPs may also reinstate after a voluntary dissolution. Reinstatement forms include agent appointment fields requiring the new or continuing agent’s signature of acceptance. The Combined Certificate of Reinstatement and Annual Report must be filed for corporations and LLCs; LPs must contact the office for a reinstatement package. Filing methods are the same as described above.

Form Description Filing Fee
Combined Certificate of Reinstatement and Annual Report (LLC) Reinstates a domestic LLC; includes agent appointment section and annual report fields $120 (reinstatement fee includes annual report)
Combined Certificate of Reinstatement and Annual Report (Corporation) Reinstates a domestic stock or nonstock corporation; includes agent appointment section $300 (stock: $150 reinstatement + $150 annual report) / $160 (nonstock: $110 reinstatement + $50 annual report)
Certificate of Reinstatement (LP) Reinstates a domestic limited partnership; no pre-printed form available — contact the office; fee includes annual report $120

Conversion Forms Requiring Registered Agent Designation in Connecticut

Connecticut uses universal cross-entity conversion and domestication forms under Chapter 616 (Entity Transactions) that apply to all eligible entity types. The Certificate of Conversion is used when an entity changes its entity type, and the Certificate of Domestication is used when an entity changes its state of formation without changing entity type. When the converted or domesticated entity’s new jurisdiction is Connecticut, the applicable formation document (which contains the registered agent appointment) must be attached. When the resulting entity’s jurisdiction is outside Connecticut, the form requires designation of the Secretary of State as agent for service of process with a mailing address for forwarding.

Form Description Filing Fee
Certificate of Conversion Converts an entity from one type to another (e.g., LLC to corporation); if converting into a Connecticut entity, attach applicable formation document with agent appointment $60 + formation document fee if converting into CT ($120 for LLC, $250 for stock corporation up to 20,000 shares, $120 for LLP)
Certificate of Domestication Changes an entity’s state of formation without changing entity type; if domesticating into Connecticut, attach applicable formation document with agent appointment $100 + formation document fee if domesticating into CT ($120 for LLC, $250 for stock corporation up to 20,000 shares, $120 for LLP)

FAQ

Where can I find all current Connecticut Secretary of State business forms?

All Connecticut business forms are available on the Forms and Fees page at business.ct.gov. The page is organized by entity type, with separate sections for domestic and foreign LLCs, stock corporations, nonstock corporations, LLPs, limited partnerships, and statutory trusts.

Downloadable paper filing PDFs are consolidated on the Submit Paper Filings page. A complete fee schedule is available as a PDF download from the same site. Online filings are available through the Business.CT.gov portal for most entity types.

Is the registered agent consent form required to be filed with the Connecticut Secretary of State?

Connecticut does not use a standalone registered agent consent form. Instead, agent consent is embedded directly into the formation, registration, and change-of-agent forms themselves.

On each form that requires appointment of a registered agent or statutory agent, there is a designated signature line where the agent must sign to accept the appointment. This signed acceptance constitutes the agent’s consent and is filed with the Secretary of the State as part of the formation or change filing. There is no separate consent document to retain internally or file independently.

What form is used to change a registered agent in Connecticut?

The form used depends on whether the entity is domestic or foreign. Domestic entities (except limited partnerships) use the Change of Agent — Domestic (BUS-009), while foreign entities (except limited partnerships) use the Change of Agent — Foreign (BUS-010). Both forms are also available for online filing through Business.CT.gov.

Limited partnerships use the Subsequent Appointment of Statutory Agent form instead, with separate versions for domestic and foreign LPs. The filing fee is $50 for most entity types and $20 for nonstock corporations and limited partnerships.

What is the difference between the entity-filed change form and the agent-filed change form in Connecticut?

Connecticut distinguishes between changing the agent entirely and updating the existing agent’s address or name. The Change of Agent forms (BUS-009 for domestic, BUS-010 for foreign) are filed by the entity to replace one agent with a different agent. They require the new agent’s signature of acceptance and are executed by an authorized official of the entity.

The Change of Agent’s Address form (BUS-003) updates the current agent’s address without replacing the agent. Despite being an “agent’s address” form, it is executed by an authorized official of the entity rather than by the agent. The Change of Agent’s Name by Registered Agent form (BUS-038), available for LLCs, is signed by the agent directly and updates the agent’s legal name without replacing the agent. Connecticut does not offer a multi-entity batch change form; each entity requires a separate filing.

Is there a fee to form a nonprofit corporation in Connecticut?

The filing fee for a domestic nonstock (nonprofit) corporation Certificate of Incorporation is $50, and the Organization and First Report that must follow within 90 days also costs $50, for a combined total of $100. By comparison, a domestic stock corporation pays $250 for the Certificate of Incorporation (up to 20,000 authorized shares) and $150 for the Organization and First Report, totaling $400.

A foreign nonstock corporation pays $40 for the Application for Certificate of Authority, compared to $385 for a foreign stock corporation. The full fee schedule is available as a PDF from the Secretary of the State.

What forms are used to register an out-of-state LLC in Connecticut?

A foreign LLC registers in Connecticut by filing a Foreign Registration Statement with a filing fee of $120. The form requires the LLC to appoint either a registered agent who is a Connecticut resident or business entity, or the Secretary of the State as its agent for service of process. The filing may be submitted online through Business.CT.gov or by paper.

Connecticut does not distinguish between standard foreign LLCs and foreign professional LLCs or foreign series LLCs; all foreign LLCs use the same Foreign Registration Statement. Annual reports are due between January 1 and March 31 of each year, with a filing fee of $80.

What forms are used to form or register a partnership in Connecticut?

Connecticut offers three partnership structures that file with the Secretary of the State. A domestic limited partnership is formed by filing a Certificate of Limited Partnership (no pre-printed form; $120), which requires a statutory agent appointment only if the LP’s principal office is outside Connecticut. A domestic limited partnership creates a new legal entity.

A domestic limited liability partnership is formed by filing a Certificate of Limited Liability Partnership ($120), which registers limited liability status for an existing general partnership rather than creating a new entity. The LLP form requires statutory agent appointment only if the principal office is outside Connecticut. Connecticut does not charge a per-partner fee for LLP formation; the flat fee is $120.

A foreign limited partnership files a Certificate of Registration of a Foreign Limited Partnership (no pre-printed form; $120), and a foreign LLP files a Certificate of Authority ($120). Connecticut does not recognize LLLPs as a distinct entity type, so there is no separate LLLP formation or registration form. General partnerships may optionally file a Statement of Partnership Authority ($120) but are not required to register with the state.

Can I file Connecticut SOS forms online?

Most Connecticut business filings can be submitted online through the Business.CT.gov portal. Filers must create a free account or log into an existing Business.CT.gov account to access online filing. Online filings are processed faster than paper submissions, and the portal allows users to save progress, view filing history, and receive reminders for upcoming filings such as annual reports.

Expedited 24-hour processing is available exclusively through online filing for an additional fee. Paper filings submitted by mail or in person are processed on a routine basis with no expedited option. Online payments accept Mastercard, Visa, Discover, and American Express; paper filings require a check or money order payable to “Secretary of the State.” Filers who have a paper form but wish to submit it electronically may use the digital paper filing submission tool, which allows uploading a completed PDF through the Business.CT.gov account.
